Welcome to RentQuarters. These Terms of Service ("Terms") govern your access to and use of the RentQuarters platform, website, mobile applications, and services (collectively, the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms.

1. Definitions

In these Terms:

• "User" means any person who accesses or uses the Platform, including Renters, Landlords, Agents, Validators, and Artisans.
• "Renter" means a person seeking to rent a property.
• "Landlord" means a property owner who lists properties for rent.
• "Agent" means a licensed real estate professional who facilitates property transactions.
• "Validator" means an independent inspector who verifies property conditions.
• "Artisan" means a maintenance professional who provides repair services.
• "Wallet" means the digital account where User funds are held.
• "Escrow" means funds held by RentQuarters pending completion of transaction conditions.

2. Acceptance of Terms

By creating an account or using any part of the Platform, you confirm that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding agreements
• You will comply with these Terms and all applicable Nigerian laws
• All information you provide is accurate, current, and complete
• You are not prohibited from using the Platform under any applicable law

3. User Accounts and Verification

3.1 Account Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Identity Verification (KYC)

For certain services, particularly financial transactions, you must complete our Know Your Customer (KYC) verification process. This may include:

• Government-issued identification (National ID, Driver's License, International Passport, or Voter's Card)
• Proof of address
• Phone number verification
• Selfie verification
• Bank account verification

KYC verification is mandatory for: Agents, Validators, Artisans, and any User making withdrawals from their Wallet. We reserve the right to suspend accounts that fail verification or provide false information.

4. Property Listings

4.1 Listing Accuracy

Landlords and Agents are responsible for ensuring all property listings are:

• Accurate and truthful in all descriptions
• Accompanied by genuine photographs of the actual property
• Compliant with all applicable laws and regulations
• Free from discriminatory language or practices

4.2 Prohibited Listings

The following are strictly prohibited:

• Properties you do not own or have authority to list
• Fraudulent or non-existent properties
• Properties involved in legal disputes
• Properties used for illegal activities
• Duplicate listings of the same property

5. Payment Terms and Wallet Services

5.1 Central Wallet System

RentQuarters provides a digital Wallet for managing rental transactions. The Wallet allows you to:

• Receive rent payments (Landlords)
• Make rent payments (Renters)
• Receive commissions (Agents, Validators, Artisans)
• Withdraw funds to your verified bank account

5.2 Escrow Services

For security, certain payments are held in escrow:

• Security Deposits: Held until lease termination and property inspection
• Rent Payments: Briefly held before disbursement to ensure transaction completion
• Maintenance Payments: Released upon confirmation of work completion

Funds held in escrow are segregated and held in trust in accordance with Nigerian financial regulations.

5.3 Payment Distribution

Payment distribution for rent transactions:

• Landlords receive 100% of rent amount (no deductions)
• Agent commission (10-20% of rent) is paid by Renter
• Platform fee (15% of commission) is deducted from Agent's commission
• If no Agent is involved, the full commission goes to the Platform

5.4 Withdrawals

To withdraw funds from your Wallet:

• You must complete KYC verification
• You must have a verified bank account
• Withdrawal requests are processed within 24-48 business hours
• Standard banking fees may apply
• We reserve the right to delay withdrawals for security verification

5.5 Transaction Limits

Transaction limits may apply based on your verification level. We may adjust limits at our discretion for security purposes.

Our fee structure includes:

All fees are disclosed before transactions are completed. Fees are non-refundable unless otherwise stated.

7. User Responsibilities and Conduct

7.1 General Conduct

All Users agree to:

• Act honestly and in good faith
• Respect other Users and their rights
• Comply with all applicable laws and regulations
• Not engage in fraudulent or deceptive practices
• Not harass, threaten, or intimidate other Users

7.2 Prohibited Activities

You agree NOT to:

• Use the Platform for money laundering or terrorist financing
• Circumvent security measures or access unauthorized areas
• Create multiple accounts to abuse Platform features
• Use automated systems to access the Platform without permission
• Infringe on intellectual property rights
• Post false, misleading, or fraudulent content
• Attempt to manipulate reviews or ratings
• Collect or harvest User data without authorization

8. Anti-Money Laundering (AML) Compliance

RentQuarters is committed to preventing money laundering and terrorist financing. By using our Platform, you agree to:

• Provide accurate identification and verification documents
• Use the Platform only for legitimate property rental purposes
• Not use the Platform to conceal the origins of illegally obtained funds
• Cooperate with any investigations or requests for information

We may report suspicious activities to the Nigeria Financial Intelligence Unit (NFIU) as required by law. We reserve the right to freeze accounts and withhold funds pending investigation.

9. Dispute Resolution

9.1 Between Users

If you have a dispute with another User:

• First attempt to resolve the issue directly with the other party
• If unresolved, submit a dispute through the Platform
• Our dispute resolution team will review and mediate
• We may hold funds in escrow during dispute resolution

9.2 With RentQuarters

Any disputes with RentQuarters shall be:

• First submitted through our customer support
• Escalated to management if unresolved within 14 days
• Subject to mediation before any legal proceedings
• Governed by Nigerian law and subject to the jurisdiction of Nigerian courts

10. Limitation of Liability

To the maximum extent permitted by Nigerian law:

• RentQuarters is a platform facilitating transactions between Users
• We are not a party to rental agreements between Users
• We do not guarantee the quality, safety, or legality of listed properties
• We are not liable for User actions, defaults, or disputes
• Our total liability shall not exceed the fees paid by you in the preceding 12 months

We shall not be liable for any indirect, consequential, incidental, special, or punitive damages.

11. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is owned by RentQuarters or its licensors. You may not reproduce, distribute, or create derivative works without our written permission.

By posting content on the Platform, you grant us a non-exclusive, worldwide license to use, display, and distribute that content in connection with our services.

12. Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to complete required verification
• Have unresolved disputes or debts
• Are inactive for an extended period

Upon termination, you must cease using the Platform. Funds in your Wallet will be returned after deducting any outstanding obligations, subject to applicable laws.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
